1. Acceptance of these terms
By accessing or using interweb.logicalframe.com (the “Website”), you agree to these Terms of Service. If you do not agree, please do not use the Website. These terms may be updated from time to time, and continued use after publication of changes constitutes acceptance of the updated terms.
2. Website purpose
The Website provides general information about Interweb Technologies’ digital development services and a way to contact us. It does not create a client, contractor, agency, partnership, employment, fiduciary, legal, financial, or other professional relationship. A binding service relationship begins only when both parties agree in writing to a specific project scope and commercial arrangement.
3. Enquiries and project discussions
You may submit an enquiry through the Website. You agree to provide information that is accurate and lawful and not to submit content that is misleading, malicious, infringing, defamatory, unlawful, or harmful. An enquiry, response, estimate, discovery call, proposal, or informal discussion is not an obligation for either party to proceed unless a separate agreement is executed.
4. Service scope and change control
Each paid project will have a defined scope, deliverables, assumptions, milestones, fees, payment terms, responsibilities, acceptance criteria, and any applicable support arrangements. Requests outside the agreed scope may require a written change request, revised timeline, and additional fees. We are not responsible for delays caused by missing client content, feedback, approvals, access, third-party dependencies, or circumstances outside our reasonable control.
5. Client responsibilities
For project work, the client is responsible for providing timely access, accurate instructions, lawful content, licences, accounts, approvals, decisions, and feedback. The client must ensure it has the required rights to any content, trademarks, data, materials, account access, integrations, and instructions supplied to Interweb Technologies. The client is responsible for complying with applicable laws and third-party terms related to its business, users, marketing, communications, and data.
6. Third-party platforms and services
Projects may rely on third-party services, including hosting providers, app stores, payment providers, Meta products, WhatsApp Business Platform, WordPress plugins, APIs, cloud infrastructure, email services, and other vendors. Their availability, pricing, policies, eligibility criteria, approval processes, rate limits, feature changes, and enforcement decisions are outside Interweb Technologies’ control. Unless expressly stated in a signed agreement, we do not guarantee approval, uninterrupted availability, or continued functionality of a third-party platform.
7. Meta, Facebook and WhatsApp services
Interweb Technologies may provide technical assistance relating to Meta ecosystem products and WhatsApp Business Platform integrations. The client remains responsible for its business verification, account ownership, permissions, data practices, user consent, message content, templates, marketing practices, and compliance with all applicable policies and laws. The person completing Embedded Signup confirms that they have authority to authorize the relevant Business Portfolio and WhatsApp assets. The client must complete Meta login and verification inside Meta’s own interface and must not disclose Facebook passwords, one-time codes, or private credentials to Interweb Technologies.
Successful Embedded Signup authorizes Interweb Connect to receive and securely store the Meta-issued identifiers and credentials needed to provide the agreed integration service. The client may deauthorize the app or request deletion, but doing so can immediately interrupt messaging, webhook delivery, template operations, or related automation. Meta, Facebook, and WhatsApp are trademarks of their respective owners. Interweb Technologies is an independent service provider and is not endorsed by or affiliated with Meta.
8. Intellectual property
Unless a signed project agreement states otherwise, Interweb Technologies retains ownership of its pre-existing materials, reusable code, frameworks, methods, know-how, tools, and generic components. Ownership or licence rights for project-specific deliverables, including source code and design files where applicable, will be governed by the written project agreement and are generally conditional on full payment of all outstanding fees. The Website design, copy, graphics, and code may not be copied, resold, or reused without permission.
9. Confidentiality
Both parties should treat non-public commercial, technical, financial, and operational information shared during a project as confidential and use it only for the relevant engagement. These obligations do not apply to information that is publicly available without breach, independently developed, lawfully received from another source, or required to be disclosed by law. A project-specific confidentiality agreement may provide more detailed terms.
10. Payments and taxes
Fees, deposits, payment schedules, currencies, accepted payment methods, taxes, late-payment consequences, and refund provisions will be stated in the relevant proposal, invoice, or project agreement. Unless otherwise agreed in writing, work may be paused when an invoice becomes overdue. The client is responsible for taxes, duties, bank charges, and payment-provider charges applicable to its payments, except taxes assessed directly on Interweb Technologies’ income.
11. Warranties and disclaimers
The Website is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Interweb Technologies disclaims all warranties not expressly stated in a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation. We do not guarantee a particular commercial outcome, revenue level, ranking, conversion rate, platform approval, security outcome, or error-free operation.
12. Limitation of liability
To the maximum extent permitted by law, Interweb Technologies will not be liable for indirect, incidental, special, punitive, consequential, or loss-of-profit damages, loss of data, loss of goodwill, business interruption, or third-party claims arising from use of the Website or a service engagement. Any liability for a paid service engagement will be limited as stated in the signed project agreement. Nothing in these terms excludes liability that cannot lawfully be excluded or limited.
13. Suspension or termination
We may restrict access to the Website or decline an enquiry where required for security, legal compliance, abuse prevention, or protection of our rights. Project suspension, termination, transfer of work, retention of access, refunds, and outstanding payments are governed by the relevant project agreement.
14. Governing law and disputes
Any governing law, jurisdiction, dispute-resolution process, and notice requirements for a client engagement should be set out in the signed project agreement. Where no separate agreement exists, these terms do not create a commitment by Interweb Technologies to accept any particular jurisdiction or dispute-resolution forum.
15. Contact
